Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and related services provided by LunyPaws LLC (“LunyPaws,” “we,” “us,” “our”) (collectively, the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) Who may use the Service (US-only)

• The Service is intended for users in the United States.
• You must be at least 13 years old (and at least 16 in certain jurisdictions) to use the Service.
• You represent that you have the legal capacity to enter these Terms.

2) Accounts and security

• You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
• You agree to provide accurate information and keep it updated.
• You must promptly notify us of any unauthorized access or security breach related to your account.

3) The Service (what we provide)

LunyPaws is a pet-care organization platform that allows you to create pet profiles, store notes and documents, track logs (such as feeding and prescriptions), and share selected pet information with people you invite (e.g., helpers or professionals) based on permissions you set.

4) Owner-controlled sharing (important)

• You control sharing. If you invite others, you are responsible for selecting appropriate permissions and for the consequences of sharing.
• Recipient behavior. People you invite may download, copy, or capture content they can access (e.g., saving files or screenshots). LunyPaws is not responsible for how recipients use information outside the Service once you choose to share it.
• Revocation. You can revoke access; revocation prevents further access through the Service, but does not retract content already copied outside the Service.

5) User content, uploads, and licenses

The Service may allow you and your invitees (depending on permissions) to submit, upload, store, and share content, including pet data, notes, and documents (“User Content”).

• You own your User Content. Except for the license below, we do not claim ownership of your User Content.
• License you grant to LunyPaws. You grant LunyPaws a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, and display your User Content solely to operate, provide, secure, and improve the Service and to fulfill your instructions (including sharing).
• Permissions. If you give someone access, you authorize LunyPaws to provide User Content to them according to those permissions.
• Your responsibilities. You represent that you have all rights needed to submit User Content and that doing so does not violate law or others’ rights.
• Content limitations. Do not upload content that is unlawful, infringing, abusive, or that contains malware. We may remove content or restrict access if we believe it violates these Terms or creates risk.

6) Acceptable use

You agree not to:

• Use the Service for unlawful purposes or in violation of any applicable law.
• Attempt to gain unauthorized access to accounts, systems, or data.
• Upload malware, exploit vulnerabilities, or interfere with the Service’s operation.
• Scrape, crawl, or use automated means to access the Service except as permitted by us.
• Reverse engineer or attempt to extract source code except where prohibited by law.
• Harass, threaten, or abuse others, or share content that is defamatory, obscene, or hateful.

7) Subscriptions, billing, and refunds

• Billing processor. Payments are processed by Stripe. You agree to Stripe’s terms as applicable.
• Auto-renewal. Subscriptions renew automatically until canceled. You can cancel per the instructions in your account settings.
• Fees and taxes. Fees are shown at purchase. You are responsible for applicable taxes unless stated otherwise.
• Changes. We may change pricing or plans in the future. If required, we will provide notice before changes take effect.
• Refunds. Except where required by law, payments are non-refundable and we do not provide prorated refunds for partial subscription periods.

8) Availability and changes to the Service

• We may modify, suspend, or discontinue any part of the Service at any time.
• We try to keep the Service available, but we do not guarantee uninterrupted or error-free operation.

9) Third-party services

The Service relies on third-party providers (for example, Stripe for billing; Cloudflare R2 for file storage; SendGrid for transactional emails). We are not responsible for third-party services not controlled by us.

10) Intellectual property

• The Service, including its software, design, text, and logos, is owned by LunyPaws or its licensors and is protected by intellectual property laws.
• You receive a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business use in accordance with these Terms.

11) Feedback

If you provide suggestions or feedback, you grant LunyPaws the right to use it without restriction or compensation.

12) Privacy

Your use of the Service is also governed by our Privacy Policy. If there is a conflict between these Terms and the Privacy Policy, the Privacy Policy controls for privacy/data practices.

13) Termination

• You may stop using the Service at any time.
• We may suspend or terminate your access if we believe you violated these Terms or if necessary to protect the Service or others.
• Sections that by their nature should survive termination will survive (including: User Content license, disclaimers, limitation of liability, indemnity, dispute resolution).

14) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUNYPAWS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No veterinary/medical advice. LunyPaws is not a veterinary or medical service and does not provide medical advice. Always consult a qualified professional for medical decisions.

15) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUNYPAWS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF LUNYPAWS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LUNYPAWS’S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO LUNYPAWS FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.

16) Indemnification

You agree to defend, indemnify, and hold harmless LunyPaws and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

17) Dispute resolution; arbitration; class action waiver

Please read this section carefully. It affects your legal rights.

Informal resolution first. Before filing a claim, you agree to try to resolve the dispute by contacting us at support@lunypaws.com and providing a brief written description of the dispute and your requested relief. The parties will attempt to resolve the dispute for 30 days.

Arbitration. If we cannot resolve the dispute informally, you and LunyPaws agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding, individual arbitration, rather than in court, except that either party may bring claims in small claims court if eligible and within that court’s jurisdiction.

• The arbitration will be conducted in English in the United States.
• The arbitrator may award relief only in favor of the individual party and only to the extent necessary to resolve the individual claim.

Class action waiver. You and LunyPaws agree that claims may be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

Opt-out. You may opt out of arbitration within 30 days of creating your account by emailing support@lunypaws.com with subject “Arbitration Opt-Out” and your account email. If you opt out, this Section 17 will not apply to you.

18) Governing law and venue

These Terms are governed by the laws of the State of [STATE], without regard to conflict of laws principles. If arbitration does not apply, you and LunyPaws agree to exclusive jurisdiction and venue in the state and federal courts located in [COUNTY, STATE].

19) Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting updated Terms and updating the effective date, and/or by email if appropriate. Your continued use of the Service after changes become effective means you accept the updated Terms.
